IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY. YOUR USE OF THIS WEB APPLICATION IMPLIES YOUR ACCEPTANCE OF THE SAME.
LegalOcean Software Inc. End User License Agreement ("EULA") is a legal agreement between you and LegalOcean Software Inc. ("LEGALOCEAN") for the LegalOcean Web Application ("APPLICATION"). By using the APPLICATION, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the APPLICATION between you and LEGALOCEAN (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, please do not use the APPLICATION.
The EULA may be amended from time to time, and notice of the amendment will be provided to you in advance. Your continued use of the APPLICATION will signify your acceptance of all such amendments.
The APPLICATION is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
The APPLICATION is sold as follows:
By opening your account, LEGALOCEAN grants you the right to login to its website, and use the APPLICATION and all its modules.
A fee per record will be charged from a date in the future. The same will be billed to you at the end of every month. For the time being, however, the APPLICATION is totally free.
You are entitled to free technical support that is provided through emails, during your use of the APPLICATION.
You may not reverse engineer, decompile, or disassemble the APPLICATION, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
You must comply with all applicable laws regarding use of the APPLICATION.
LEGALOCEAN expressly disclaims any liability for the accuracy or correctness of any and all legal content generated by the APPLICATION. The liability for the same rests entirely with you.
LEGALOCEAN maintains joint database for things like Banks, Lawyer, Property Management, REBroker, etc. This information is available for the benefit of all the users, and as such, you will be fully entitled to use the same for your own records. Beyond the above mentioned benefit, you will not be entitled to any other compensation or remuneration of any kind whatsoever, for your help in updating and maintaining the joint database.
Without prejudice to any other rights, LEGALOCEAN may terminate this EULA if you fail to comply with the terms and conditions of this EULA.
All title, including but not limited to copyrights, in and to the APPLICATION are owned by LEGALOCEAN, and are strictly reserved. All rights not expressly granted are reserved by LEGALOCEAN.
LEGALOCEAN expressly disclaims any warranty for the APPLICATION. The APPLICATION is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, non-infringement, or fitness of a particular purpose. LEGALOCEAN does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the APPLICATION. LEGALOCEAN makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. LEGALOCEAN further expressly disclaims any warranty or representation to Authorized Users or to any third party.
In no event shall LEGALOCEAN be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the SOFTWARE PRODUCT, even if LEGALOCEAN has been advised of the possibility of such damages. In no event will LEGALOCEAN be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. LEGALOCEAN shall have no liability with respect to the content of the APPLICATION or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
